May 26, 1998 PSE CIRCULAR FOR BROKERS NO. 1150-98 Listings and Disclosure Group 4/F Philippine Stock Exchange Center PSE Center, Exchange Road Ortigas, Pasig City Attention: Disclosure Department Gentlemen: We wish to advise the Philippine Stock Exchange that in view of the deferment of the election of directors of the Bank as approved by its stockholders during the Annual Stockholders' Meeting held this morning, the PNB Board of Directors in a meeting held today at 3:45 p.m. approved the holding of a Special Stockholder's Meeting on July 21, 1998 at 9:00 a.m. at the PNB Banking Hall, 3rd Floor, PNB Financial Center, Roxas Blvd., Pasay City for the purpose of electing the members of the Board of Directors. Please be informed that the Board also approved that the record date for stockholders of record who shall be entitled to attend and vote at this meeting shall be June 22, 1998. (SGD.) WALDO Q.
