("SGI") furnished the Exchange a copy of SEC Form 34-C (Definitive Information Statement) in connection with its Annual Stockholders' Meeting which will be held on May 29, 1998 , at 3:00 p.m., at the Mezzanine Floor, Dusit Hotel Nikko, Ayala Center, Makati City. The agenda for the meeting shall be as follows: 1. Call to order 2. Proof of notice and certification of quorum 3. Approval of minutes of the previous meeting of the stockholders 4. Notation and approval of the management report and audited financial statements for the year ended December 31, 1997 5. Ratification of previous corporate acts 6. Approval of an investment in Destiny, Inc., and the transfer of certain assets related to the company's electronics business in exchange for shares of stock of Destiny, Inc. 7.
