Suarez, the Vice-President & Resident Manager of the registrant has retired effective at the end of business hours on 30 April 1999 having reached the compulsory age of retirement. Mr. Fernando P. Ginete, an Assistant Vice-President and long time Assistant Resident Manager has been designated as Acting Resident Manager. Mr. Suarez will however be retained as a Consultant of the registrant for a period of time. 12. It is the opinion of the registrant that the retirement of Mr. Simon A. Suarez would not have a material impact on its current operations, its financial position or results of operation.
