Stas remains a director of the Corporation; and b) On account of defective notice for the 23 April 1999 meeting of the Board of Directors, (i) the agenda for the said meeting will be taken up at a subsequent meeting of the Board of Directors, aisadc (ii) the election of Mr. Donn P. T. Lee as Director vice Mr. Stas should be deemed ineffective. c) The Annual meeting of the Stockholders scheduled for 21 May 1999 shall proceed as scheduled.
