No. AS092-000589 Disclosure Statement 98-07 Gentlemen : On behalf of our referenced client (the "Corporation"), we advise that today's special meeting of stockholders was adjourned for lack of quorum. Management intends to consult with the Securities and Exchange Commission on the matter of securing the proxies of foreign shareholders who are the beneficial owners of approximately seventy percent (70%) of the Corporation's issued and outstanding capital stock. Pending such consultation, the Corporation cannot as yet determine the date on which the special meeting shall be reconvened. Likewise, we advise that the annual meeting of stockholders scheduled today was adjourned for lack of quorum. For the same reason aforestated, the Corporation cannot as yet determine the date on which the annual meeting shall be reconvened. We shall forthwith apprise you of developments in due course.
