Harvard Road, Forbes Park, Makati City, Metro Manila, Philippines, for the purpose of ratifying the proposed amendments to the Articles of Incorporation approved by the Board of Directors in its meeting held on December 16, 1999, to wit: (a) To include among the secondary purposes, the business of Information Technology, Telecommunications and Information Related Business; and (b) To change the par value of the shares of stock of the Corporation from One Peso (Php1.00) to Five Pesos (Php5.00) and (c) Such other business as may properly come up before the meeting. The stock and transfer book of the Company will be closed at the end of business hours on December 17, 1999 and will be reopened after the annual stockholders' meeting.
