Other Events We wish to inform the Commission that Uniwide Sales Realty and Resources Corporation (USRRC) a 98% owned subsidiary of Uniwide Holdings, Inc. (UHI) has entered into a Memorandum of Agreement (MOA) on December 29, 1999 with the United Coconut Planters Bank (UCPB) to settle loan obligations of the Uniwide Group of Companies (the "Group"). Total amount of loan to be extinguished is P1.044 billion covering outstanding principal and interest obligations with UCPB. Said move was made to facilitate implementation of our proposed rehabilitation plan which includes 'dacion en pago' proposals as submitted to the Securities and Exchange Commission (SEC).
