July 1, 2015 GCG MEMORANDUM ORDER NO. 007-15 REORGANIZATION OF THE BASES CONVERSION AND DEVELOPMENT AUTHORITY WHEREAS, the Governance Commission for GOCCs (GCG), pursuant to Section 5 (a) of the "GOCC Governance Act of 2011" (R.A. No. 10149), is mandated to "evaluate the performance and determine the relevance of the GOCC, to ascertain whether such GOCC should be reorganized, merged, streamlined, abolished or privatized, in consultation with the department or agency to which a GOCC is attached;" WHEREAS, the reorganization of BCDA is necessary to make the organization responsive and competitive in line with its shift from asset disposition to asset management; WHEREAS, the BCDA Management Holdings. Inc. (BMHI), a wholly owned subsidiary of BCDA was de-activated by the Governance Commission pursuant to GCG M.O. No. 2015-06 wherein BCDA was mandated to absorb qualified employees and implement the separation pay for affected employees of BMHI; WHEREAS, the BCDA has an authorized plantilla of positions consisting of 183 positions, of which 151 are filled as of April 2015; WHEREAS, BCDA officially submitted to the Commission its Revised Reorganization Plan on 05 December 2014 and a series of Technical Working Group meeting/discussions and negotiations between representatives of the BCDA and the GCG were held, the last TWG meeting being on 27 March 2014; WHEREAS, the Governance Commission has recommended to the Office of the President the approval of an Early Retirement Incentive Program (ERIP) for the BCDA Reorganization; NOW, BE IT RESOLVED, the Revised Reorganization Plan of BCDA with 30 organizational units and 171 positions is hereby APPROVED WITH MODIFICATIONS as reflected in the documents below, which form an integral part of this Memorandum Order (M.O.). Annex A Reorganization Plan; Annex B Organizational Structure; Annex C Staffing Pattern; and Annex D Functional Statement The highlights of the approved Reorganization Plan are as follows: 1. Net reduction in regular plantilla positions by 12 positions to 171 from the existing 183 positions; 2. Net reduction in the number of organizational units to 30 from the existing 34 units due to: 2.1. Abolition of: a. Legal Research Division b. Litigation Division c. Budget Division d. Project Finance Division e. Office of the Executive Vice President 2.2. Merging of SCTEX Services Department and Subsidiaries, Affiliates and Projects Monitoring Department to create Investment Management Department 2.3. Downgrading of General Services Department to a Division under the Procurement and Property Management Department 2.4. Creation of Investment Promotion and Marketing Department under Conversion and Development Group 2.5. Creation of Project Management Office catering to special and big ticket projects like the Clark Green City project 3. Renaming of the following units: From To Business Development and Operations Conversion & Development Group Group Financial Services Group Investment and Finance Group Internal Audit Services Office Office of the Internal Auditor Legal Services Department Office of the General Counsel Planning Services Department Corporate Planning Office Public Affairs Department Corporate Communications Office Budget Department Budges & Comptrollership Department Financial Management Services Accounting Department Department Treasury & Investments Department Corporate Finance & Treasury Department Corporate Board Secretariat Office of the Corporate Secretary Financial Audit Division Management Audit Division Personnel & Compensation Benefits Human Resource Management & Division Development Division Training Division Organization Development Division Information & Communications Information Technology Division Technology Department RESOLVED FURTHER, the implementation of this order shall comply with the following conditions and guidelines: 1. Filling up of vacant positions shall be programmed to ensure the overall financial viability of agency operations relative to actual revenue collections and operating requirements; 2. Funding requirements for regular positions shall be sourced from the Corporate Operating Budget of BCDA; 3. The Board of Directors through the President and CEO shall be accountable for the implementation of the Early Retirement Incentive Program (ERIP) to be approved by the Office of the President; 4. BCDA shall submit to the GCG one hard copy and one digital copy in a CD of the Plantilla of Positions; 5. The Reorganization Plan shall be implemented within two (2) months after receipt of this M.O. and a monthly progress report shall be submitted to GCG until such has been completed; 6. The pertinent civil service, budgetary, accounting, auditing and other relevant laws, rules and regulations shall be complied with; and 7. The Governing Board may reassign positions to different organizational units within the GOCC. Any other modification on the GCG-Approved Organization Structure and Staffing Pattern (OSSP) shall require the prior approval of the Governance Commission. RESOLVED FINALLY, the BCDA Governing Board shall have the authority to DEFER the implementation of the Reorganization until a decision is reached by the Office of the President on the recommendation of the GCG to approve an ERIP for the BCDA Reorganization.
