September 29, 2000 BSP CIRCULAR LETTER TO : All Banks And Non-Bank Financial Intermediaries The Securities and Exchange Commission (SEC) approved on September 29, 2000 the Articles of Merger and Addendum to the Articles of Merger executed on May 30, 2000 and Plans of Merger executed on March 17 & April 13, 2000, by and among SECURITY BANK CORPORATION (SBC - Surviving Corporation), FEDERAL SAVINGS & MORTGAGE BANK, INC. (FSMBI - Absorbed Corporation), SBC INFORMATION TECHNOLOGY, INC. (SITI- Absorbed Corporation) and SB SAVINGS BANK, INC. (SBSBI - Absorbed Corporation), whereby the entire assets and liabilities of the absorbed corporations will be transferred to and absorbed by SBC. The merger took effect on September 29, 2000.
