Request for Clearance to Register as a Single VAT Entity

October 22, 1987 BIR RULING NO. 326-87 107 000-00 326-87 Gentlemen : This refers to your letter dated October 12, 1987 requesting clearance to register Bataan Refining Corporation (BRC), Petron TBA Corporation (Petron) and Petrophil Corporation (Petrophil) as one VAT entity under the name of Petrophil, 7901 Makati Avenue, Makati, Metro Manila. iatdc In view of your representation that both the articles of merger by and between Petrophil and Petron and between Petrophil and BRC have been filed with, and are pending approval by the Securities and Exchange Commission, and that approval of both merger plans are expected before the effectivity of the VAT system on January 1, 1988 authority is hereby conditionally granted for the single VAT registration of all the constituent corporations under the name of Petrophil as the surviving corporation , pursuant to Section 107 of the Tax Code, as amended by Executive Order No. 273. Petrophil shall register in the revenue district which has jurisdiction over the place where the main or head office is located. However, in the event one or both plans of merger are not approved, separate registration of the constituent corporations which failed to merge is required without prejudice to the imposition of the administrative sanctions as provided under Section 25, Revenue Regulations No. 5-87.
