Introduction Money Laundering is a scheme whereby the proceeds of specified unlawful activities are transacted or attempted to be transacted to make them appear to have originated from legitimate sources. DSAacC In order to establish an effective anti-money laundering regime in the country, a responsive anti-money laundering legislation was created. Republic Act (R.A.) No. 9160, otherwise known as the Anti-Money Laundering Act of 2001 was signed into law on September 29, 2001 and took effect on October 17, 2001. The Implementing Rules and Regulations took effect on April 2, 2002. On March 7, 2003, R.A. No. 9194 (An Act Amending R.A. No. 9160) was signed into law and took effect on March 23, 2003. The Revised Implementing Rules and Regulations took effect on September 7, 2003. 1.1 Covered Institutions Covered Institutions (CIs) mandated by the Anti-Money Laundering Act (AMLA), as amended, to submit covered and suspicious transaction reports to the Anti-Money Laundering Council (AMLC) are as follows: Banks and all other entities, including their subsidiaries and affiliates, supervised and regulated by the Bangko Sentral ng Pilipinas. Insurance companies and all other institutions supervised or regulated by the Insurance Commission. Securities dealers, pre-need companies, financing companies and other entities supervised or regulated by the Securities and Exchange Commission. 1.2 Covered and Suspicious Transactions A. Covered Transactions are single transactions in cash or other equivalent monetary instrument involving an amount in excess of Five Hundred Thousand (P500,000.00) Pesos within one (1) banking day. B. Suspicious Transactions are transactions with covered institutions, regardless of the amounts involved, where any of the following circumstances exists: AHcCDI There is no underlying legal/trade obligation, purpose or economic justification The client is not properly identified The amount involved is not commensurate with the business or financial capacity of the client The transaction is structured to avoid being reported There is a deviation from the client's profile/past transactions The transaction is related to an unlawful activity/offense under the AMLA Transactions similar or analogous to the above C. All covered transactions should be reported by the CIs, through the Head Office, to AMLC within five (5) working days from occurrence thereof, unless the Supervising Authority concerned prescribes a longer period not exceeding ten (10) working days. IC Cir. No. 14-2005 dated 13 April 2005, BSP Cir. 612 dated 13 June 2008 and SEC Memorandum Cir. No. 2-2010 dated 20 May 2010 extend the period of reporting for BSP- IC- SEC- supervised or regulated institutions, respectively, to ten (10) working days from occurrence thereof. D. Should a transaction be determined to be both a covered and a suspicious transaction, the CI shall report the same as a suspicious transaction. SDTIaE E. Before CIs can submit covered and suspicious transaction reports (CTRs/STRs) to AMLC, they must first register their Compliance Officer (CO) and/or alternate representatives who will be authorized to send their reports. These personnel will be assigned individual username and password by the AMLCS and the institution code will likewise be provided upon registration. The AMLC Registration Form is available at the AMLC office or can be downloaded from the AMLC website, www.amlc.gov.ph. The form should be properly filled out, signed by authorized senior officer of the CI (President/Head) and submitted to the Information Management and Analysis Group (IMAG) of the AMLCS. The assigned username and password must be claimed personally by the owner, or his/her authorized representative, from the AMLCS office. F. The username and password shall be used to access the AMLC portal. Only when the user is properly authenticated, can the CIs submit electronically the CTR/STRs. Authorized CI representatives will be briefed on the mechanics of the submission of covered and suspicious transactions as discussed in the succeeding pages. G. The CTRs/STRs must be sent to AMLC in electronic form, via dial up, internet or as an email attachment. Reporting Guidelines (CTR/STR) A. The electronic CTR/STR file is a comma separated variable file or CSV (see Attachment A) where each column/field/variable is separated by a comma. Text/Data fields must not contain commas, single and double quotes, greater than and less than signs (, ' " > and <) . A comma (,) is used to separate the different fields of the record while the less than and greater than signs (< >) are used to enclose succeeding values of multiple valued fields. The CSV file may be created by extracting all the required data (those above the threshold of P500,000) from the CI's database and building records following the format provided by AMLC or inputting the information in Excel and saving it using csv as its file type. Header column names or columnar headings should not be included in the file. This file is structured to have several header records for CIs with branches and several detail records for the various transactions under each header record. At the end of the file is a trailer record containing the total no. of transactions and the total Php amount of all the detail records. (see Attachment A). B. Total Amount of Transactions refers to the total/sum of all peso transaction amounts in the file. C. Total No. of Suspicious Transaction refers to the number of transactions included in the file. 6. Transaction Security Process Guidelines A. The File Transfer and Reporting Facility using the Hypertext Transfer Protocol over Secure Socket Layer (FTRF v 2.0) shall be used by the CIs in transmitting their respective reports. B. Hypertext Transfer Protocol over Secure Socket Layer (HTTPS) is a private, secure and graphical method of accessing web page information and/or sending information across a web. It is especially useful for encrypting forms-based information as it passes between clients and servers. HTTPS which is implemented under the File Transfer and Reporting Facility (FTRF v 2.0) will address the efficiency, integrity and security concerns of data collection from the Covered Institutions. C. File Transfer and Reporting Facility (FTRF) has the following features: a. Secure upload provides data encryption, server authentication & message integrity b. Self-signed Digital Identification & Certificate allows encrypting and digital signing of messages c. Transactional Security Agreement serves as a memorandum of agreement between AMLC & CI. It documents the details, terms and conditions and the use of the self-signed digital certificates. D. The self-signed digital identification shall be implemented for all CIs. AMLC and the CIs shall use the Gnu Privacy Guard (GPG) software for its encryption and authentication and the GPG supported algorithm (MD5) for its signing. Installer of the said software shall be provided by AMLC upon registration. E. The key of AMLC shall be used by the CIs in filling out/verifying the information stated in the Transaction Security Agreement. F. The compliance officer of the CI shall likewise generate his private key as well as public key using GPG which shall be given to AMLC during the exchange of public keys. G. The signed public key of the AMLC shall be used by the CIs to: a. Encrypt the electronic files (CTR/STR in csv format) to be submitted to AMLC b. Verify the signature of the files they will receive from AMLC H. The signed private key of the AMLC shall be used by AMLC to: a. Decrypt the encrypted files sent by the CIs which were encrypted using AMLC's signed public key b. Sign the electronic files they will send to the CIs AaEcHC I. The signed public key of the CI shall be used by the AMLC to: a. Encrypt the validation messages that AMLC will send to the CI b. Verify the signature of the files AMLC will receive from the CIs J. The signed private key of the CI shall be used by them to: a. Decrypt the AMLC validation messages from AMLC b. Sign the electronic files they will send to AMLC K. The CIs shall submit the duly accomplished and notarized Transaction Security Agreement to Data Collection and Management Staff at the 5/F EDPC Building, BSP Complex, Malate Manila. L. The form shall be enclosed in a sealed envelope with a signature on its flap. M. After the exchange of keys, CIs are required to encrypt and sign the electronic CTR/STR files before transmitting them to AMLC via https (AMLC portal). N. In cases wherein the public key is compromised, superseded or no longer in use, a new pair of public and private keys shall be generated and newly accomplished Transaction Security Agreement shall be issued. CIs shall follow the same procedures discussed above. 7. Transaction Security Protocol 7.1 Installing the GnuPG for Windows Software (Gpg4win 2.1.0) 1. Copy gpg4win 2.1.0 from CD/flash drive to your local drive C. 2. Double click gpg4win-2.1.0.exe. You will be asked if you want to allow the program to make changes in your computer. 3. Click Yes. The Installer Language window will be displayed on the screen. 4. Select English , then, click Ok. 5. The Gpg4win Setup window will be displayed on the screen. Click Next. 6. The License Agreement window will be displayed on the screen. Click Next. 7. Select components to install. Check Kleopatra, GpgEX, and Gpg4win Compendium , then, uncheck other components. Click Next. 8. Specify destination folder, then, click Next. For 32 bit machine the default directory is C:\Program Files\GNU\GnuPG For 64 bit machine the default directory is C:\Program Files (x86)\GNU\GnuPG 9. Select where Gpg4win shall install links. Check Start Menu and Desktop , then, click Next. 10. Choose Start Menu folder for the Gpg4win shortcuts. Enter Gpg4win , then, click Install. EHTSCD 11. Please wait while Gpg4win is being installed. 12. Once, the setup was completed successfully, click, Next. 13. Check Root certificate defined or skip configuration, then, click Next. 14. Click Finish. 7.2 Generation of Key Pairs (One time Procedure) 1. From your desktop, double click Kleopatra. The Kleopatra main window will be displayed on the screen. 2. Click File , then, select New Certificate. 3. Certificate Creation Wizard will be displayed on the screen. Click Create a personal OpenPGP key pair. 4. Enter Details, then, click Advance Settings. Note : Name Name of Compliance Officer Email Email address of Compliance Officer Comment Name of the company 5. The Technical Details window will be displayed on the screen. 6. From Key Material, select DSA: 2,048 bits (default). 7. Check + Elgamal : 2,048 bits (default). 8. From Certificate Usage, check Signing , Encryption and Certification. 9. Click Ok. 10. From the Certificate Creation Wizard window, click Next. 11. From Certificate Creation Wizard, check Show all details , review the certificate parameters, then, click Create Key. 12. Pinentry window will be displayed on the screen. Enter Passphrase (gpg password of compliance officer), then, click Ok. 13. Re-enter passphrase, then, click Ok. 14. Wait until the key pair is successfully created. 15. Click Finish. ITCHSa 7.3 Exporting Public Key 1. From your desktop, double click Kleopatra. The Kleopatra main window will be displayed on the screen. 2. Click the name of the compliance officer, then, click Export Certificates. 3. Select the directory where the public key is to be saved, then, click Save. For 32 bit machine : c:\Program Files\GNU\GnuPG\ For 64 bit machine : c:\Program Files (x86)\GNU\GnuPG\ Note : The default filename of the public key is the key fingerprint. 7.4 Exchange of Keys A. Email the exported asc file to AMLC ([emailprotected]) and wait for AMLC's reply. B. Upon receipt of AMLC's email, detach and copy the AMLC public key (amlc.asc) to: For 32 bit machine : c:\Program Files\GNU\GnuPG\ For 64 bit machine : c:\Program Files (x86)\GNU\GnuPG\ 7.5 Importing AMLC Key 1. From your desktop, double click Kleopatra. The Kleopatra main window will be displayed on the screen. 2. Click Import Certificates. 3. Select the directory where the AMLC.asc was saved, then, click Open. 4. The Certificate Import Result window will be displayed on the screen. Click Ok . 5. The imported public key will be displayed on Kleopatra Imported Certificates tab. 7.6 Certifying AMLC Key 1. From your desktop, double click Kleopatra. 2. From Kleopatra main window, click Anti-Money Laundering Council's public key. 3. From the menu bar, click Certificates , then, click Certify Certificate. 4. Check Anti-Money Laundering Council, then, check I have verified the fingerprint. Click Next. 5. Select Certify only for myself, then, click Certify. 6. Enter passphrase of compliance officer, then, click Ok. TIHDAa 7. Click Finish. 7.7 Backup Procedure 1. Open Kleopatra 2. From My Certificates tab, click the name of the key owner (Compliance Officer) 3. From the menu bar, click File then select Export Certificates 4. Select the directory where you want to save the backup of your public key (USB) 5. Click Save 6. From My Certificates tab, click the name of the key owner (Compliance Officer) 7. From the menu bar, click File then select Export Secret Keys 8. Select the directory where you want to save the backup of your private key (USB) 9. Click Save 7.8 How to Fill Out Transaction Security Agreement (TSA) 1. From your desktop, double click Kleopatra. The Kleopatra main window will be displayed on the screen. 2. Double click the name of the compliance officer. The certificate details will be displayed on the screen. 3. Fill out the TSA with the required information such as key owner, Email Address, Generation Date, Expiration Date, Key ID, and Fingerprint. 4. Click Close button to close the certificate details of the compliance officer. 5. From the Kleopatra main window, double click Anti-Money Laundering Council. The certificate details will be displayed on the screen. 6. Verify the Fingerprint of AMLC from the certificate details window with the one written in TSA form. 7. Fill out the TSA with other required information such as Supervising Agency, Industry Type, Institution Name, Address, Telephone Numbers, and Fax Numbers. 8. Fill out the Acknowledgement Page of the TSA with the name of the compliance officer, and Tax Identification Number of the compliance officer. 9. Have the TSA signed and notarized. Note : The CIs shall submit the duly accomplished and notarized Transaction Security Agreement to Mr. Alexander Joseph Villacorta at the 5/F EDPC Building, BSP Complex, Malate Manila. 8. Transaction Security Process 8.1 Encrypting of Files ( done everytime a CI submits a report file) 1. From your desktop, double click Kleopatra . The Kleopatra main window will be displayed on the screen. 2. Click File, then, click Sign/Encrypt Files. . . ITcCaS 3. Select the csv file you want to sign and encrypt, then, click Open. 4. Select Sign and Encrypt, then, click Next. 5. Select Anti-Money Laundering Council's public key, then, click Add. 6. Click Next. A warning message will be displayed on the screen. Click Continue. 7. Select the Compliance Officer's private key, then, click Sign & Encrypt. 8. Enter passphrase of the Compliance Officer, then, click Ok. 9. Click Finish. 8.2 Configuring the Dial-up Connection (one time procedure) Windows XP Windows 7 Click START, go to CONTROL PANEL Click START, go to CONTROL PANEL Double click NETWORK CONNECTIONS Double click Network and Sharing Center Click CREATE A NEW CONNECTION; Click Set up a New Connection or the New Connection Wizard will appear. HOW TO LOGIN From the Internet Explorer, a registered CI user opens browser and types the url, https://portal.amlc.gov.ph which leads to the screen below, the CI User Login Page. TO LOGIN 1. Enter the user name and password provided to you when you registered with AMLCS. 2. Click login. 3. A successful login will show the CI User Main Page. HSCcTD There are six (6) options (or links) available in CI User Main Page: a. Advisory, if the icon is clicked, it will automatically display latest advisory/announcement of AMLC. b. Download Public Key of AMLC gives the option to download the public key of AMLC c. Download TSA Form gives the option to download the Transaction Security Agreement Form d. File Upload gives the option for the registered CI user to upload the electronic CTRs and STRs. e. File Upload History gives the option for the registered CI user to inquire and view the files uploaded; only files uploaded by the particular CI can be viewed. f. Logout will log the CI user out of the system and go back to CI User Login Page. 8.3.2. HOW TO DOWNLOAD PUBLIC KEY OF AMLC 1. Log on FTRF. 2. From User Main Page, Click Download Public Key of AMLC link or 3. Click Save button. The Save As window will be displayed on the screen. 4. Select the directory where you want to save the public key of AMLC 5. Click Save button. The public key of AMLC will be saved on the selected directory. 8.3.3. HOW TO DOWNLOAD TSA FORM 1. Log on FTRF. 2. From the User Main Page, click Download TSA Form link or 3. Click Save button. The Save As window will be displayed on the screen. 4. Select the directory where you want to save the AMLC TSA Form. 5. Click Save button. The TSA Form will be saved on the selected directory. Note : You need to fill out the TSA Form, have the TSA Form notarized and submit to AMLC the notarized TSA Form in triplicate. 8.3.4. HOW TO UPLOAD FILES When the registered CI user ID and its corresponding password are entered correctly, the CI user should be able to use the FTRF to upload the electronic reports. TO UPLOAD 1. Upon successful login, Click File Upload link or 2. Click Browse button to locate the file to be uploaded Note : Only files with [.csv.gpg] or [.csv.enc] or [.csv.pgp] as extension at the end of the filename will be accepted for uploading through the FTRF. The filename should follow the file naming convention 123456yyyymmddss, where: 123456 1st six digits of the institution code yyyymmdd report date (date the report is sent to AMLC) IHaSED ss sequence number (from 01-99) representing no. of files transmitted for the day 3. After locating the file, click UPLOAD to upload the selected file or click BACK TO MENU to cancel the upload and return to the User Main Page. 4. After the Upload button is clicked and upon every successful upload, the "Upload Confirmation Receipt" is displayed. The Upload Confirmation Receipt has the following information: Confirmation Receipt: Date and time of receipt + Username + FileName File Name: Name of the file that was uploaded File Size: size of the file that was uploaded Date and Time: Receipt date and time of the file at AMLC Secretariat Uploaded by: Name of the CI user who uploaded the file If there are still file for uploading, click If there are no more file for uploading, click If a CI user wants to search view files that have been uploaded, click 8.3.5. HOW TO VIEW FILE UPLOAD HISTORY A registered CI User can search/view anytime the files that have been uploaded for the registered CI he is representing. Status of each file uploaded is indicated in the search result. TO VIEW FILE UPLOAD HISTORY 1. From the User Main Page, click >FILE UPLOAD HISTORY. The File Upload History window will be displayed on the screen. 1. Check the result of the file uploaded by comparing the number of transaction count with the number of good transactions. a. If the transaction count is equal to the number of good transactions, the CI can save a copy of the confirmation receipt by clicking on the "SAVE REPORT TO FILE" button, or the "PRINT" button to have a printed copy for filing. b. If the transaction count is not equal to the number of good transactions, the CI should select the report file with Bad Transactions and click on the "EMAIL SELECTED ROWS" button. The validation message of the selected uploaded file will be sent via email. Check the validation message for the details of the error/s and make the appropriate correction. 2. To view specific past date or date range, click 3. Click >SEARCH to start the search. HDCTAc 4. When the search is completed, the query result is displayed. a. If the transaction count is equal to the number of good transactions, the CI can save a copy of the confirmation receipt by clicking on the "SAVE REPORT TO FILE" button, or the "PRINT" button to have a printed copy for filing. b. If the transaction count is not equal to the number of good transactions, the CI should select the report file with Bad Transactions and click on the "EMAIL SELECTED ROWS" button. The validation message of the selected uploaded file will be sent via email. Check the validation message for the details of the error/s and make the appropriate correction. 5. To search another date or date range, click > CLEAR button before entering the new search dates. 8.3.6. HOW TO LOGOUT From the User Main Page, click Logout link or If CI User closes the browser, a notification message below will be displayed on the screen.
